PROFIT-LEFT LICENSE ADDENDUM
Supplements the Base License of the attached software · PGF

This Profit-Left License Addendum (this “Addendum”) modifies and supplements the base open source license (the “Base License”) applicable to the software to which this Addendum is attached.

1.

Definitions

1.1 "Adapted Material" means any modified, extended, or derived versions of the Licensed Material.

1.2 "Licensed Material" means the software, code, or data licensed under the Base License and this Addendum.

1.3 "Prosperous Software" means any software distributed under a license approved by the Public Goods Foundation (the "PGF").

1.4 "Revenue Share Percentage" means 1%.

1.5 "Revenue Threshold" means $1.0M.

1.6 "Usage" means any deployment, execution, modification, reproduction, or interaction with the Licensed Material or Adapted Material — expressly including the training of artificial intelligence or machine-learning models.

Revenue Sharing ObligationPROFIT-LEFT

2.1 If the Licensee’s annual gross revenue exceeds the Revenue Threshold, the Licensee shall contribute a revenue share equal to the Revenue Share Percentage of their annual revenue directly to any other Prosperous Software, provided that such contributions do not involve self-dealing.

Self-dealing includes directing funds to any project or software over which the Licensee exercises a significant amount of ownership, benefit, control, or authority.

3.

Multi-License Aggregation

3.1 Where the Licensee Uses multiple pieces of Prosperous Software, the total revenue-sharing obligation is calculated using the maximum Revenue Share Percentage and the minimum Revenue Threshold across all applicable profit-left licenses — so that commitments compose in a simple, actionable manner.

4.

Profit-Left Inheritance

4.1 Every modified, extended, or derived version distributed or made available by the Licensee must be licensed under terms that include this profit-left addendum — mandating a revenue-sharing commitment at least as great, and a threshold no greater, than required by this Addendum.

5.

Reporting Requirements

5.1 Licensees subject to the obligation must maintain comprehensive annual reports detailing all Uses of the Licensed Material or Adapted Material, including accurate and complete records of the revenues generated from or associated with such Uses.

6.

Audit Rights

6.1 The Licensor reserves the right to audit the Licensee’s records and accounts related to any Use, to ensure compliance with this Addendum. The Licensee shall cooperate fully and provide reasonable access to relevant records.

7.

Compatibility

7.1 This Addendum supplements the Base License. In the event of a direct conflict, this Addendum governs as to the revenue-sharing, reporting, audit, and profit-left obligations — while remaining compatible with existing software ecosystems to the maximum extent permitted.
